At Binder, we care about the privacy of your data and are committed to protecting it. This Privacy and Cookie Policy (the “Policy”) explains what information we collect about you and why.

Binder, G.P. (Cartable, S.E.N.C.) a Québec company makes available the “Website” (websites including, without limitation, https://mybinder.io and all sub-domains), “Platform” (software and web-based application), and “Services” (including, without limitation, asset management, asset maintenance, binder integration, and derivative services) to help businesses have a more effective management and maintenance system.

1. INTRODUCTION

This Privacy Policy is incorporated into Binder’s Terms of Service and License Agreement, located at mybinder.io/terms, and applies to the information obtained by us through your use of Binder's Website, Platform, and/or Services (“Information”) as described in the terms of this Policy. Capitalized terms used in the terms of this Policy and not otherwise defined shall have the meanings provided for those terms in the Terms of Service and License Agreement.

When you interact with our Website, Platform, and/or Services, we collect information that could be used to identify you (“Personal Data”). Some of the information we collect is stored in a manner that cannot be linked back to you (“Non-Personal Data”). Binder obtains Personal Data about you from various sources to provide our Services and to manage our Website and Platform.

2. PERSONAL DATA WE COLLECT

2.1 The Personal Data that you provide directly to us through our Website, Platform, and/or Services will be apparent from the context in which you provide the data. When you create an Account, sign up or use our Services, you voluntarily give us certain Personal Data, including, but not limited to: your full name, email address, Account log-in credentials, and language preferences. If you log into Binder with a social networking credential account, such as with your Google account, we may collect the personal data you have made publicly available in Google, such as your email address, full name, and profile picture or logo. You agree that you are solely responsible for your use of a social networking credential account and that it is your responsibility to review the terms of use and privacy policy of such social networking credential account. You can stop sharing that information with us at any time by removing Binder’s access to that account.

2.2 Your payment information, if you are a paying User. This is required to complete a commercial transaction on the Website. We use this information to enable and fulfill your transaction. We use Stripe, a third party payment services processor, to process payments made through the Website, Platform, and/or Services. In connection with the processing of such payments, we do not retain any personally identifiable information or any financial information such as credit card numbers. Rather, all such information is provided directly to Stripe, whose use of your personal data is governed by their privacy policy, which may be viewed at https://stripe.com/us/privacy.

2.3 You may also choose to submit information to us via other methods, including: (i) in response to marketing, emails, surveys, or other communications; (ii) through social media or online forums; (iii) through participation in an offer, program or promotion; (iv) in connection with an actual or potential business relationship with us; or (v) by giving us your business card or contact details at trade shows or other events.

2.4 If you contact us by phone, we will collect the phone number you use to call Binder. If you contact us by phone as a User, we may collect additional information in order to verify your identity.

2.5 Other Information we collect. We collect this information as you use the Website, Platform, and/or Services: (i) shared or submitted User Generated Content; and (ii) including, but not limited to full names, email addresses, Account log-in credentials, and language preferences of Users under a Business Account.

2.6 Automatically collected Information. Certain data about the devices you use to connect with Binder and your use of the Website, Platform, and/or Services are automatically logged in our systems, including: (i) Location information, as the geographic area where you use your computer and mobile devices (as indicated by an Internet Protocol (IP) address or similar identifier) when interacting with our Website, Platform, or Services; (ii) Log data, as with most websites and technology services delivered over the internet, our servers automatically collect data when you access or use our Website, Platform, and/or Services and record it in log files. This log data may include IP address, browser type, and settings, date and time of use, information about browser configuration, language preferences, and cookie data; (iii) Usage information, as information about the Binder Website, Platform, and/or Services you use and how you use them. We may also obtain data from our third party partners and service providers to analyze how users use our Website, Platform, and/or Services. We use this aggregated information to better understand and optimize the Website; (iv) Device information, as data from your computer or mobile device, such as the type of hardware and software you are using, as well as unique device identifiers; and (v) Cookies, as data obtained from cookies is described in Section 5.

2.7 We may also collect personal data at other points in the Binder Services when identified.

3. HOW WE USE PERSONAL DATA

3.1 We use, process, and store your Information as necessary to perform our contract with you and for our legitimate business interests.

3.2 To help us provide and administer our Website, Platform, and/or Services, authenticate Users for security purposes, provide personalized User features and access, process transactions, conduct research, develop new features, and improve the features, algorithms, and usability of our Website, Platform, and/or Services.

3.3 We rely upon a number of legal grounds to ensure that our use of your Personal Data is compliant with applicable laws. We use Personal Data to facilitate the business relationships we have with our Users, to comply with our financial regulatory and other legal obligations, and to pursue our legitimate business interests. We also use Personal Data to complete payment transactions and to provide payment-related services to our Users.

3.4 We may send you email marketing communications about Binder products announcements, Services, software updates, and special offers, or invite you to participate in our events or surveys, or otherwise communicate with you for marketing purposes. We also may want to contact you with information about products and/or Services from our business partners. You may opt-out of such communications at any time by clicking the “unsubscribe” link found within Binder emails and changing your contact preferences.

3.5 All Binder Account holders will continue to receive transactional messages related to our Services, even if you unsubscribe from promotional emails.

3.6 To communicate with you about your use of our Website, Platform, and/or Services, product announcements, and software updates, as well as respond to your requests for assistance, including providing Account verification support if you’re having difficulty accessing your Account.

3.7 To calculate aggregate statistics on the number of unique devices using our Website, Platform, and/or Services, and to detect and prevent fraud and misuse of those.

4. HOW WE DISCLOSE PERSONAL DATA

4.1 Binder does not sell or rent Personal Data to marketers or unaffiliated third parties. We share your Personal Data with trusted entities, as outlined below.

4.2 We share Personal Data with third party business partners when this is necessary to provide our Services.

4.3 We may disclose Non-Personal Data publicly and to third parties, in public reports, to partners under agreement with us, or as part of progress reports, we may provide to other Users.

5. COOKIES

5.1 Cookies are small text files stored on your device and used by web browsers to deliver personalized content and remember logins and account settings. Binder uses cookies and similar technologies, including tracking pixels and web beacons, to collect usage and analytic data that helps us provide our Website, Platform, and/or Services to you, as well as to help deliver ads for relevant Binder products and/or Services to you when you visit certain pages on the Website and then visit certain third party sites.

5.2 Essential cookies. These cookies are sometimes called “Necessary cookies” as without them we cannot provide many services that you need. Essential cookies help remember your preferences as you use our Website, Platform, and/or Services.

5.3 Functionality cookies. These cookies allow us to remember choices you make when you use our Website, Platform, and/or Services, such as remembering your language preferences, remembering your login details, and remembering the changes you make to other parts of the Platform that you can customize. The purpose of these cookies is to provide you with a more personal experience and to avoid you having to re-enter your preferences every time you visit our Website, Platform, and/or Services.

5.4 Analytics cookies. These cookies track information about your visits and usage of the Website, Platform, and/or Services so that we can make improvements and report our performance. We might also use analytics cookies to test new ads, pages, or features to see how users react to them. Google Analytics is the main technology we currently use in this regard. 5.5 Disabling Cookies. You can generally activate or later deactivate the use of cookies through a functionality built into your web browser. In order to do this, follow the instructions provided by your browser settings.

6.SECURITY AND RETENTION

6.1 We make reasonable efforts to ensure a level of security appropriate to the risk associated with the processing of Personal Data. We maintain organizational, technical, and administrative measures designed to protect Personal Data within our organization against unauthorized access, destruction, loss, alteration, or misuse. Your Personal Data is only accessible to a limited number of personnel who need access to the information to perform their duties. Unfortunately, no data transmission or storage system can be guaranteed to be 100% secure. If you have reason to believe that your interaction with us is no longer secure, please contact us immediately.

6.2 We retain your Personal Data as long as we are providing the Website, Platform, and/or Services to you. We retain Personal Data after we cease providing the Website, Platform, and/or Services directly or indirectly to you, even if you close your Account to the extent necessary to comply with our legal and regulatory obligations, and for the purpose of fraud monitoring, detection, and prevention. Where we retain data, we do so in accordance with any limitation periods and record retention obligations that are imposed by applicable law.

6.3 You can remove your Personal Data from Binder at any time by going to your “My Account” page and then deleting your Account or by contacting us via email at [email protected]. However, we may keep some of your Personal Data for as long as reasonably necessary for our legitimate business interests, including fraud detection and prevention, and to comply with our legal obligations including tax, accounting, financial reporting, legal reporting, and auditing obligations, where we are required to retain the data by our contractual commitments to our financial partners, and where data retention is mandated by the payment methods that we support.

7. AGE OF CONSENT

The Services are not directed to individuals under the age of thirteen (13), and we request that they do not provide Personal Data through the Website, Platform, and/or Services.

8. CHANGES TO THIS POLICY

8.1 We may change this Policy from time to time to reflect changes in our Website, Platform and/or Services, changes in our Personal Data practices, or relevant laws. The “Last revised” legend at the top of this Policy indicates when this Policy was last revised. Any changes are effective when we post the revised Policy on the Website. We may provide you with disclosures and alerts regarding the Policy or Personal Data collected by posting them on our Website and, if you are a User, by contacting you through your Binder Account, email address, and/or the physical address listed in your Binder Account.

8.2 If the Website or Binder is acquired by or merged with another company, your information may be transferred to the new owners so that we can continue to offer Services and the Platform to you.

9. THIRD PARTY WEBSITES

The Website may provide the ability to connect to other websites. These websites may operate independently from us and may have their own privacy notices or policies, which we strongly suggest you review. If any third party website is not owned or controlled by us, we are not responsible for its content, any use of the website, or the privacy practices of the operator of the website.
